With respect to your question, when you stated the registered Joint Venture Agreement I believe you refer to the registered Joint Venture Company.

Generally, the Articles of Association means the Rules and Regulations of a company. It is at the discretion of the Registrar to decide whether to accept any clauses of the Article of Association to be registered.

In case the Registrar does not accept some clauses mentioned in the Joint Venture Agreement to be used as clauses in the Articles of Association, all parties are still bound to the Joint Venture Agreement.

Any dispute arising out of the Joint Venture Agreement will be decided either by an Arbitrator or a Court.
